Annual Registration Fees

Virginia requires most businesses to pay an annual registration fee. The SCC assesses an annual fee each year after you form or register your business in Virginia.

 
Type of business
When is my fee due? How much is the fee?

Stock Corporations

Your due date is the last day of the month your business was formed or registered.

For example, if your company was incorporated in July, your fees are due on or before July 31.

Your fees are based on the number of authorized shares.

Nonstock Corporations

Your due date is the last day of the month your business was formed or registered.

Limited Liability Companies

Your due date is the last day of the month your business was organized or registered.

Limited Partnerships

Your fee is due on or before October 1. 

$50.00

Business Trusts

Your fee is due on or before October 1.

You may pay your annual registration fee once the SCC assesses your business. The SCC assesses and sends the notification two months before the fee is due. Unfortunately, you may not pay your fee prior to being assessed. 
 
Types of acceptable payment methods include:
  • Online: Credit cards and e-checks
  • Mailed: Check or money order
  • In-person: Credit card, money order, check and cash

Payments not received by the SCC on or before the due date (regardless of weekends or holidays) will receive a penalty.

  • The penalty for a stock corporation is either 10% of the annual fee or $10, depending on which one is higher.
  • The penalty for a nonstock corporation is always $10.
  • All other business types are $25. 

Not paying the full amount due could result in additional penalties and possible cancellation or termination of your business.

Type of Business Cancellation or Termination Date
Stock and Nonstock Corporations The last day of the fourth month following the due date.

Example: If the company formed or registered to do business in March of the calendar year, the annual registration fee is due on or before the last business day of March. You have until the last business day of July, four months after to pay the annual registration fee or your entity will be terminated.
Limited Liability Companies The last day of the third month following the due date.

Example: If the LLC was organized or registered to do business in April of the calendar year, the annul registration fee is due on or before the last business day of April. You have until the last business day of July, three months after to pay the annual registration fee or your entity will be canceled.
 
Limited Partnerships and Business Trusts December 31st 

It depends on how you pay. 

  • Online:  You may not make a partial payment online. You must pay the total amount (annual registration fee and if applicable any penalties).
  • Mailed: You may submit a payment for less than the total amount due. 

The SCC does not encourage partial payments. The SCC will apply any payment to the oldest penalties and fees first. Not paying the full amount due could result in additional penalties and possible cancellation or termination. 
 

Once a Virginia corporation is assessed the amount cannot be adjusted. If you plan to change the number of authorized shares, you need to file the amendment at least two months before your next assessment. See How Much Is My Annual Registration Fee and When Is It Due FAQ for more information. 

A foreign corporation’s annual registration fee can be reduced if:
  • You filed an amendment in your home state prior to the assessment date.
  • You also filed a certified copy of the amendment with the SCC within 30 days of the effective date of the amendment.

The Commission mails the annual registration fee assessment to the registered agent at the registered office address on file two months in advance of the due date. It is the duty of the registered agent to forward the notice to the company.

Contact the company's registered agent to determine if they received the assessment. To check the name of the company's registered agent and the address of its registered office on the Commission's records, perform a Business Entity Search in CIS.

A letter should be sent to the Clerk of the Commission explaining why the company believes the penalty was improperly imposed. Please note, however, that after a penalty has been paid, it cannot be refunded.
