The review and processing of most business entity documents presented for filing in the Clerk’s Office can be expedited for an additional fee. To utilize this service, one must complete and include an Expedited Service Request Form, form SCC21.2, which is to be placed on top of the submission. To download form SCC21.2, select one of the file formats shown below. A separate form and fee are required for each document that is submitted for expedited processing.

A complete list of the documents that may be submitted for expedited processing can be found at the end of the Instructions to the Expedited Service Request Form. The following are not subject to expedited service: providing copies of filed documents and certificates of fact, including certificates of good standing; UCC filings; tax lien filings; registered agent resignations; annual report filings; annual continuation report filings; annual registration fee payments; and service of process.

Generally, an expedited document received in the Clerk’s Office by 4:00 p.m. will be reviewed, processed and filed by 4:00 p.m. on the next business day, assuming that it is acceptable as presented. For a greater fee, Same Day service is available for organizational documents, amendments and mergers that are received by noon. A draft of a latter document can also be presented for preliminary review to help you make sure that it will meet the requirements of Virginia law when it is presented for filing.

Regular Processing

Depending on the document type, work flow and staff availability, documents presented for regular processing may take 1 to 3 weeks to review, process and file (or reject). Organizational documents for corporations and limited liability companies that have not been previously submitted and rejected are usually processed in one week.
